1. Acceptance of Terms
Welcome to SoSocial. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SoSocial, a company based in Dublin, Ireland ("SoSocial," "we," "us," or "our"). These Terms govern your access to and use of the SoSocial platform, including our website at https://so-social.co, our web application, APIs, and all related services (collectively, the "Services").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.
You must be at least eighteen (18) years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. We will notify you of material changes by posting the updated Terms on the Services with a new "Last updated" date or by sending you an email notification. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
2. User Registration, Plans, and Fees
2.1 Account Registration
To access certain features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to maintain and promptly update your account information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials, including your password, and for all activity that occurs under your account. You must immediately notify SoSocial at support@so-social.co of any unauthorised use of your account or any other breach of security. SoSocial shall not be liable for any loss or damage arising from your failure to protect your account credentials.
2.2 Subscription Plans
SoSocial offers various subscription plans with different features, limitations, and pricing. Details of available plans are published on our website and may change from time to time. When you select a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are quoted in Euros (EUR) unless otherwise stated.
2.3 Auto-Renewal and Payment
All paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, as applicable) unless you cancel before the renewal date. By subscribing to a paid plan, you authorise SoSocial to charge your designated payment method on a recurring basis. Payment processing is handled by our third-party payment processors, and you agree to comply with their terms of service. SoSocial reserves the right to change subscription fees upon thirty (30) days' notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.
2.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at support@so-social.co. Cancellation will take effect at the end of the current billing cycle. You will retain access to paid features until the end of the period for which you have already paid. After cancellation, your account will revert to the free tier (if available) or be deactivated.
2.5 Refund Policy
If you are charged for a renewal and have not used the Services during the new billing cycle, you may request a full refund within fourteen (14) days of the charge by contacting support@so-social.co. Once you have actively used the Services during a billing period, no prorated refunds will be issued for the remainder of that period. Annual subscriptions are non-refundable once the billing period has commenced, except as required by applicable law. SoSocial reserves the right to issue refunds or credits at its sole discretion on a case-by-case basis.
2.6 Plan Changes
You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the current billing cycle. Downgrades take effect at the start of the next billing cycle. When downgrading, features not included in the new plan may become unavailable, and any data or content exceeding the new plan's limits may be subject to deletion after a reasonable grace period.
3. Right to Access and Use the SoSocial Services
3.1 Limited Licence
Subject to your compliance with these Terms, SoSocial grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your internal business or personal purposes. This licence does not include any right to resell or make commercial use of the Services or any content therein, collect or use any product listings, descriptions, or prices, make any derivative use of the Services or their content, download or copy account information for the benefit of a third party, or use any data mining, robots, or similar data-gathering and extraction tools.
3.2 Intellectual Property
The Services, including all content, features, functionality, software, text, graphics, logos, icons, images, audio, video, data compilations, and the design, selection, and arrangement thereof, are the exclusive property of SoSocial and its licensors and are protected by Irish and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
3.3 Prohibited Uses
You agree not to use the Services in any manner that:
- Violates any applicable local, national, or international law or regulation
- Infringes on the intellectual property rights or privacy rights of any third party
- Involves reselling, sublicensing, or redistributing the Services or access thereto
- Involves scraping, crawling, or using automated means to access the Services without our express written consent
- Interferes with, disrupts, or places an undue burden on the Services or the networks or servers connected thereto
- Attempts to gain unauthorised access to any part of the Services, other accounts, computer systems, or networks connected to the Services
- Introduces viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
- Engages in any conduct that restricts or inhibits any other user from using or enjoying the Services
- Uses the Services to stalk, harass, bully, or intimidate any person
- Impersonates any person or entity or misrepresents your affiliation with a person or entity
- Uses the Services to send spam, chain letters, or other unsolicited communications
- Reverse engineers, decompiles, disassembles, or otherwise attempts to discover the source code of the Services
3.4 Modification and Suspension
SoSocial reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.
4. Trademarks
The SoSocial name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SoSocial or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners. Nothing in these Terms or the Services shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any trademark displayed on the Services without the written permission of the trademark owner.
5. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose your personal data. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy. 6. User Content
The Services allow you to upload, submit, store, send, schedule, publish, and receive content, including but not limited to text, images, videos, links, and other materials ("User Content"). You are solely responsible for all User Content that you upload, post, publish, or otherwise transmit via the Services.
You represent and warrant that your User Content does not and will not:
- Violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or publicity rights
- Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
- Promote violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property right of any party
- Contain unsolicited or unauthorised advertising, promotional materials, spam, junk mail, chain letters, pyramid schemes, or any other form of solicitation
- Contain any viruses, corrupted data, or other harmful, disruptive, or destructive files or content
- Involve the transmission of "junk mail," "chain letters," or unsolicited mass mailing or "spamming"
- Contain material that exploits minors in any way
SoSocial reserves the right, but has no obligation, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason or no reason, including but not limited to User Content that we determine violates these Terms or may be offensive, illegal, or that might violate the rights of, harm, or threaten the safety of others.
7. Rights in User Content
SoSocial does not claim ownership of your User Content. However, by uploading, posting, or otherwise making User Content available through the Services, you grant SoSocial a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely in connection with operating, providing, improving, and promoting the Services. This licence continues for a commercially reasonable period after you remove or delete your User Content from the Services, to the extent necessary to complete any pending operations (such as scheduled posts that have already been queued for publication).
You acknowledge and agree that SoSocial may access, preserve, and disclose your account information and User Content if required to do so by law, or in a good-faith belief that such access, preservation, or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that any User Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of SoSocial, its users, and the public.
8. Feedback
If you provide SoSocial with any feedback, suggestions, recommendations, ideas, improvements, or other input regarding the Services ("Feedback"), you hereby assign to SoSocial all right, title, and interest in and to such Feedback. You agree that SoSocial shall be free to use, disclose, reproduce, licence, distribute, and otherwise exploit the Feedback in any manner, without any obligation, royalty, or restriction based on intellectual property rights or otherwise. To the extent such assignment is not effective under applicable law, you grant SoSocial an exclusive, irrevocable, perpetual, worldwide, royalty-free licence to use and exploit all Feedback in any manner.
9. Third-Party Services
The Services enable you to connect to and interact with third-party social media platforms and services, including but not limited to Facebook, Instagram, and X (formerly Twitter) (collectively, "Third-Party Services"). Your use of Third-Party Services is governed by the respective terms of service and privacy policies of those third parties. SoSocial is not responsible for the content, accuracy, availability, or practices of any Third-Party Services.
By connecting your Third-Party Service accounts to SoSocial, you authorise us to access and interact with those accounts on your behalf, including reading, posting, scheduling, and managing content as directed by you through the Services. You are responsible for ensuring that your use of SoSocial in conjunction with Third-Party Services complies with the applicable terms and policies of those third parties.
SoSocial does not endorse and shall not be responsible or liable for any content, advertising, products, services, or other materials on or available through Third-Party Services. You acknowledge and agree that SoSocial shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any Third-Party Services.
10. Indemnification
You agree to indemnify, defend, and hold harmless SoSocial and its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable legal fees) arising from or relating to:
- Your access to or use of the Services
- Your violation of these Terms
- Your violation of any applicable law, rule, or regulation
- Your User Content, including any claim that your User Content infringes the intellectual property rights or other rights of any third party
- Your interaction with any Third-Party Services through the platform
- Any misrepresentation made by you
SoSocial reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims. You agree not to settle any matter without the prior written consent of SoSocial.
11. General Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOSOCIAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SOSOCIAL DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (E) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
THE SERVICES INCLUDE AI-POWERED FEATURES THAT GENERATE CONTENT SUGGESTIONS, CAPTIONS, HASHTAGS, AND OTHER MATERIALS. SOSOCIAL MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, APPROPRIATENESS, OR LEGALITY OF ANY AI-GENERATED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND APPROVING ALL AI-GENERATED CONTENT BEFORE USE OR PUBLICATION.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SOSOCIAL OR THROUGH OR FROM THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOSOCIAL OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SOSOCIAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; (D) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICES.
IN NO EVENT SHALL SOSOCIAL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO SOSOCIAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED EUROS (€100).
THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT SOSOCIAL HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact SoSocial at support@so-social.co and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, you or SoSocial may proceed to mediation as set forth below.
13.2 Mediation
If the dispute cannot be resolved informally, the parties agree to attempt in good faith to resolve the dispute through mediation administered by an agreed-upon mediator in Dublin, Ireland, before resorting to arbitration. The costs of mediation shall be shared equally between the parties unless the mediator determines otherwise.
13.3 Binding Arbitration
If the dispute is not resolved through mediation within sixty (60) days, either party may submit the dispute to binding arbitration. The arbitration shall be conducted in Dublin, Ireland, under the rules of the Chartered Institute of Arbitrators (CIArb) or another mutually agreed-upon arbitration body. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be allocated by the arbitrator in accordance with applicable law.
13.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights.
14. Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SOSOCIAL AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU AGREE THAT YOU WILL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU ACT OR PROPOSE TO ACT IN A REPRESENTATIVE CAPACITY. YOU FURTHER AGREE THAT NO PROCEEDING WILL BE JOINED, CONSOLIDATED, OR COMBINED WITH ANOTHER PROCEEDING WITHOUT THE PRIOR WRITTEN CONSENT OF SOSOCIAL AND ALL PARTIES TO ANY SUCH PROCEEDING.
15. Termination
SoSocial may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, at our sole discretion. Reasons for termination may include, but are not limited to: (a) breach of these Terms; (b) a request by you to cancel your account; (c) a request or order from law enforcement or a judicial body; (d) discontinuance or material modification of the Services; (e) unexpected technical or security issues; (f) extended periods of inactivity; or (g) non-payment of any fees owed by you.
Upon termination, your right to use the Services will immediately cease. SoSocial shall have no obligation to maintain or provide your User Content after termination and may delete your account and all associated data after a reasonable retention period, except as required by applicable law. The following provisions shall survive termination: Sections 4 (Trademarks), 7 (Rights in User Content), 8 (Feedback), 10 (Indemnification), 11 (General Disclaimers), 12 (Limitation of Liability), 13 (Dispute Resolution), 14 (Class Action Waiver), 16 (Governing Law), and 20 (Miscellaneous).
16. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.
Subject to the dispute resolution provisions in Section 13, the courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. Nothing in these Terms shall limit SoSocial's right to bring enforcement proceedings in any jurisdiction or to seek injunctive relief in any court of competent jurisdiction.
If you are a consumer resident in the European Union, you shall also benefit from any mandatory provisions of the law of the country in which you are resident, and nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

You agree that all agreements, notices, disclosures, and other communications that SoSocial provides to you electronically satisfy any legal requirement that such communications be in writing. You agree that SoSocial may send you emails or other electronic communications regarding updates to these Terms, the Services, or other matters, and that these communications constitute "written" notice for all purposes.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.
19. Copyright Infringement Claims
SoSocial respects the intellectual property rights of others and expects its users to do the same. If you believe that your copyright-protected work has been copied and is accessible on the Services in a way that constitutes copyright infringement, you may notify us by providing the following information in writing to our designated agent:
- A physical or electronic signature of the copyright owner or a person authorised to act on their behalf
- Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works are covered by a single notification, a representative list of such works
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and information reasonably sufficient to permit SoSocial to locate the material
- Your contact information, including your address, telephone number, and email address
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorised to act on behalf of the copyright owner

Upon receipt of a valid infringement notification, SoSocial will take appropriate action in accordance with applicable copyright law, which may include removing or disabling access to the allegedly infringing material and, in appropriate circumstances, terminating the accounts of repeat infringers.
20. Miscellaneous
20.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by SoSocial on the Services, constitute the entire agreement between you and SoSocial concerning your use of the Services. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and SoSocial with respect to the Services.
20.2 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of SoSocial. Any attempt by you to assign or transfer these Terms without such consent shall be null and void. SoSocial may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets.
20.3 No Waiver
The failure of SoSocial to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorised representative of SoSocial. No waiver shall be deemed a further or continuing waiver of such term or any other term.
20.4 Force Majeure
SoSocial shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond SoSocial's reasonable control, including but not limited to acts of God, fire, flood, earthquake, pandemic, epidemic, civil unrest, war, terrorism, strikes, power failures, internet or telecommunications failures, government actions, or third-party service disruptions.
20.5 Relationship of the Parties
Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and SoSocial. You do not have any authority to assume or create any obligation on behalf of SoSocial, and you shall not represent yourself as an agent, employee, or representative of SoSocial.
